1. Acceptance of Terms

Welcome to Report Rad AI. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Report Rad AI ("Company," "we," "us," or "our") governing your access to and use of the Report Rad AI platform, website, and services (collectively, the "Service").

BY ACCESSING OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS. If you do not agree to these Terms, do not access or use the Service.

These Terms apply to all users, including healthcare professionals, medical institutions, and organizations using the Service.

2. Eligibility and Account Registration

2.1 Professional Use Only

The Service is intended exclusively for licensed healthcare professionals, including but not limited to:

  • Board-certified or board-eligible radiologists
  • Radiology residents and fellows under supervision
  • Healthcare institutions employing licensed radiologists

2.2 Age Requirement

You must be at least 18 years old to use the Service.

2.3 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access
  • Ensuring your account information is accurate and current

3. Medical Disclaimer and Professional Responsibility

3.1 AI-Assisted Tool

IMPORTANT: Report Rad AI is an AI-assisted report generation tool designed to support, not replace, professional medical judgment. The Service:

  • Does NOT provide medical diagnoses
  • Does NOT replace clinical decision-making
  • Does NOT substitute for physician expertise
  • Should NOT be solely relied upon for patient care decisions

3.2 Physician Responsibility

YOU ACKNOWLEDGE AND AGREE THAT:

  • You are solely responsible for reviewing, editing, and verifying all AI-generated content
  • You must independently confirm the accuracy of all reports before signing or submitting
  • Final clinical decisions remain your professional responsibility
  • You will not use generated reports without thorough physician review
  • You maintain full liability for all clinical interpretations and diagnoses

4. License and Permitted Use

4.1 Grant of License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your professional medical practice.

4.2 Permitted Uses

  • Generate radiology reports for your clinical practice
  • Create and manage custom report templates
  • Use voice dictation features for report generation
  • Export reports for integration with your EMR system

4.3 Prohibited Uses

You may NOT:

  • Resell, sublicense, or distribute the Service to third parties
  • Use the Service for any unlawful or fraudulent purpose
  • Attempt to reverse engineer, decompile, or hack the Service
  • Use automated systems (bots, scrapers) to access the Service
  • Bypass rate limits or security features
  • Share your account credentials with unauthorized users
  • Use the Service to generate content unrelated to radiology reporting
  • Input patient-identifiable information beyond what's necessary for report generation

5. User Content and Data

5.1 Your Content

You retain ownership of all content you input into the Service, including findings, voice recordings, and custom templates ("User Content").

5.2 License to Us

By using the Service, you grant us a limited license to process, store, and transmit your User Content solely to provide and improve the Service. This includes:

  • Generating reports based on your inputs
  • Storing de-identified data for service improvement
  • Using aggregated, anonymized data for AI model training

5.3 De-Identification

You are responsible for ensuring that all patient data is de-identified before inputting into the Service. While we provide automatic PII redaction in transcriptions, you must comply with HIPAA de-identification standards (45 CFR § 164.514).

5.4 Prohibited Content

You may NOT input:

  • Patient names, addresses, or dates of birth
  • Medical record numbers or account numbers
  • Social Security Numbers or other identifiers
  • Full-face photographs or comparable images
  • Any other HIPAA-defined identifiers

6. Payment and Subscription

6.1 Free Trial

We may offer a 14-day free trial. After the trial period, you will be charged the applicable subscription fee unless you cancel before the trial ends.

6.2 Subscription Plans

Subscription plans and pricing are available on our website. All fees are non-refundable except as required by law.

6.3 Billing

  • Subscriptions auto-renew unless cancelled
  • You authorize us to charge your payment method on each billing cycle
  • Price increases will be communicated 30 days in advance
  • Failed payments may result in service suspension

6.4 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds will be provided for partial months.

7. Intellectual Property Rights

7.1 Our IP

The Service, including all software, algorithms, AI models, designs, trademarks, and content (excluding User Content) are owned by Report Rad AI and protected by copyright, trademark, and other intellectual property laws.

7.2 Generated Reports

You own the final reports you generate and sign. However, we retain ownership of the underlying AI technology and templates used to create those reports.

8. Warranties and Disclaimers

8.1 Service Availability

We strive for 99.9% uptime but do not guarantee uninterrupted service. Maintenance, updates, and unforeseen outages may occur.

8.2 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability or fitness for a particular purpose
  • Warranties of accuracy, reliability, or completeness of AI-generated content
  • Warranties that the Service will be error-free or secure
  • Warranties that the Service complies with all applicable laws in your jurisdiction

9. Limitation of Liability

9.1 No Liability for Medical Decisions

WE ARE NOT LIABLE FOR ANY CLINICAL DECISIONS, DIAGNOSES, OR PATIENT OUTCOMES resulting from your use of the Service. You assume full responsibility for all medical judgments.

9.2 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim
  • We are not liable for indirect, incidental, special, consequential, or punitive damages
  • We are not liable for loss of profits, revenue, data, or business opportunities
  • We are not liable for medical malpractice claims or patient injury

9.3 Jurisdictional Limitations

Some jurisdictions do not allow limitation of liability. In such cases, our liability is limited to the fullest extent permitted by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless Report Rad AI, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any law or regulation
  • Medical malpractice claims related to your clinical practice
  • Your infringement of third-party rights
  • Your User Content

11. Termination

11.1 By You

You may terminate your account at any time by contacting support or using account settings.

11.2 By Us

We may suspend or terminate your account immediately if you:

  • Violate these Terms
  • Engage in fraudulent or illegal activity
  • Fail to pay subscription fees
  • Misuse the Service in a way that harms users or our business

11.3 Effect of Termination

Upon termination, your access to the Service will cease. We will retain your data as required by law (HIPAA requires 7 years). You may request data export before termination.

12. HIPAA and Regulatory Compliance

12.1 Business Associate Agreement

If you are a Covered Entity under HIPAA, you must execute a Business Associate Agreement (BAA) with us. Contact legal@reportradai.com to request a BAA.

12.2 Your Compliance Obligations

You are responsible for:

  • Complying with HIPAA, state medical board regulations, and all applicable laws
  • Obtaining necessary patient consents for AI-assisted reporting (if required in your jurisdiction)
  • Maintaining your medical license and professional credentials
  • Complying with FDA regulations for medical software (if applicable)

13. Dispute Resolution and Arbitration

13.1 Informal Resolution

Before filing a claim, you agree to contact us at legal@reportradai.com to attempt informal resolution.

13.2 Binding Arbitration

Any disputes not resolved informally shall be resolved through binding arbitration in accordance with the American Arbitration Association (AAA) rules. Arbitration will be conducted in [Your State/Country].

13.3 Class Action Waiver

You agree to resolve disputes on an individual basis and waive the right to participate in class actions or collective proceedings.

14. General Provisions

14.1 Governing Law

These Terms are governed by the laws of [Your State/Country], without regard to conflict of law principles.

We may modify these Terms at any time. Material changes will be notified via email 30 days in advance. Continued use after changes constitutes acceptance.

14.3 Severability

These Terms, together with our Privacy Policy and any BAA, constitute the entire agreement between you and Report Rad AI.

14.5 No Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right or provision.
